1. Agreement to Terms

By accessing or using Somodus at somodus.com (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Service.

You must be at least 13 years of age, or the minimum age required in your country to consent to use online services, to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Service Description

Somodus is an AI-powered platform that enables users to create, configure, and deploy AI agents ("Generated Agents"). The Service is operated by Iridium Studio, Inc., 2810 N Church St STE 89969, Wilmington, DE 19802, United States (the "Operator"). You are solely responsible for all Generated Agents created through your account, including their behavior, outputs, and compliance with applicable laws. Features and availability may change over time. We will endeavor to provide reasonable notice of material changes.

Somodus is a productivity automation platform. It does not provide regulated financial, investment, legal, medical, or tax advice. Any content generated or surfaced through Generated Agents is for informational and productivity purposes only and must not be relied upon as professional advice in regulated domains.

3. Account Registration

To use the Service, you must sign in using Google OAuth. By signing in, you authorize us to access your Google profile information (name, email address, profile picture, account identifier, and email verification status) as described in our Privacy Policy.

You are responsible for maintaining the security of your Google account and for all activities that occur under your account on the Service.

4. Subscription and Billing

The Service offers paid subscription plans. All billing and payment processing is handled by Polar as the Merchant of Record, with payments processed through Stripe.

  • Recurring billing — Subscriptions are billed on a recurring basis (monthly or annually) and will automatically renew unless cancelled
  • Cancellation — You may cancel your subscription at any time through the Polar billing portal. Cancellation takes effect at the end of the current billing period
  • Refunds — Refund requests are subject to Polar's refund policy as the Merchant of Record. You may request a refund through the Polar billing portal or by contacting us at support@somodus.com. These provisions do not affect your statutory rights, including the right of withdrawal under EU consumer protection law where applicable. See our Refund & Cancellation Policy for details
  • Price changes — We reserve the right to change subscription prices. Existing subscribers will be notified via email at least 30 days before any price change takes effect
  • Free tier — Certain features may be available without a paid subscription, subject to usage limits

By subscribing, you also agree to Polar's Terms of Service.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Generate malicious code, malware, or code intended to cause harm
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Access the Service through automated means (bots, scrapers) without authorization
  • Circumvent any usage limits or access controls
  • Share your account credentials or allow unauthorized access to your account
  • Use the Service to infringe on intellectual property rights of others
  • Scrape, harvest, collect, or aggregate personal data about third parties without a lawful basis or required consent
  • Circumvent the terms of service, rate limits, or technical protections of any third-party platform or service
  • Download, copy, or redistribute content from third-party platforms in violation of those platforms' terms
  • Send spam or transmit bulk unsolicited messages

6. Intellectual Property

Your content — You retain ownership of any code you submit to the Service and any code generated through your use of the Service. You are responsible for ensuring that your use of generated code complies with applicable licenses and laws.

Our platform — The Service, including its design, features, and underlying technology, is owned by the Operator. You may not copy, modify, or distribute any part of the Service without our written consent.

7. User-Generated Agents — Disclaimer and Liability

A "Generated Agent" refers to any AI agent created, configured, or deployed by you through the Service. This includes agents built from platform-provided templates, whether modified or used as-is. Your selection and deployment of any agent template constitutes your acceptance of full responsibility. Full ownership, operational responsibility, and legal liability for all Generated Agents belong exclusively to you.

For the avoidance of doubt, the intellectual property provisions of Section 6 apply to the code within your Generated Agents; this Section 7 governs the operational liability for their deployment and execution.

To the maximum extent permitted by applicable law, we disclaim all liability for:

  • All damages arising from Generated Agent outputs, including responses, decisions, and actions
  • Financial damages caused by Generated Agents
  • Legal proceedings and associated costs arising from criminal investigations related to Generated Agents
  • Civil liability related to Generated Agents
  • Damages from inaccurate information, errors, or malfunctions of Generated Agents
  • Disputes between Generated Agents and third parties
  • Data collection, processing, or storage issues of Generated Agents
  • Regulatory or legal violations by Generated Agents

Third-party API costs — When your Generated Agents invoke third-party APIs using your API keys or credentials (including but not limited to OpenAI, Google, Anthropic, and other AI model providers), you are solely responsible for all costs, charges, and fees incurred. Somodus's platform subscription fee does not include or cover any third-party API costs. We are not liable for unexpected cost overruns, charges exceeding your budget, or billing disputes between you and third-party API providers. You must establish and monitor spending limits, billing alerts, and usage quotas directly with your third-party API providers.

Automated execution disclaimer — You acknowledge that once deployed, your Generated Agents operate autonomously without real-time human approval for each action. You assume all risk and liability for:

  • All actions taken by your Generated Agents, whether intended or unintended
  • Incorrect, inaccurate, or harmful outputs produced by your Generated Agents
  • Secondary and consequential damages caused by reliance on Generated Agent outputs (including but not limited to financial losses, reputational harm, business interruption, and harm to third parties resulting from erroneous agent outputs)
  • Cascading failures where agent errors trigger additional costs or damages across integrated services
  • Recursive or runaway API calls that multiply costs exponentially
  • Unintended data modifications, deletions, or transmissions

We do not pre-approve, monitor, or validate the actions of your Generated Agents during execution. You are solely responsible for pre-deployment testing, ongoing monitoring, and implementing appropriate safeguards (including rate limits, cost budgets, and error handling).

Emergency measures — We reserve the right to suspend or terminate any Generated Agent immediately and without notice if we reasonably believe it poses a threat to the Service, other users, or third parties. Upon termination of your account, all your Generated Agents will be immediately deactivated.

User obligations — You must ensure that your Generated Agents comply with all applicable laws and regulations, and with the terms of service of any third-party API providers whose services your Generated Agents utilize. You must provide appropriate notices and obtain necessary consent from end users who interact with your Generated Agents.

Indemnification — You agree to indemnify, defend, and hold harmless Somodus, its Operator and affiliates from and against all claims, demands, suits, damages, losses, liabilities, and expenses (including reasonable attorney fees and legal costs) arising from or related to: (a) your Generated Agents and their outputs, actions, or failures; (b) third-party API costs incurred through your API keys or credentials; (c) any secondary or consequential damages caused by your Generated Agents; (d) violations of applicable laws or third-party rights by your Generated Agents; (e) disputes between you (or your Generated Agents) and any third party. This indemnification obligation survives the termination of your account and these Terms.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate code and provide suggestions. AI-generated content is provided "AS IS" without any warranty of accuracy, completeness, or fitness for a particular purpose. For the avoidance of doubt, outputs produced by your Generated Agents are governed by Section 7, not this section.

  • AI-generated code may contain errors, bugs, or security vulnerabilities
  • You are solely responsible for reviewing, testing, and validating any AI-generated code before use
  • We do not guarantee that AI-generated code is free from intellectual property claims
  • You should not use AI-generated code in critical systems without thorough review

9. Service Availability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

  • We may suspend or discontinue the Service at any time for maintenance, updates, or other reasons
  • We reserve the right to modify or discontinue any feature of the Service
  • We are not liable for any loss or damage resulting from Service unavailability

To the maximum extent permitted by applicable law, we expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total liability for any claims arising from the Service (excluding claims related to Generated Agents) shall not exceed the total amount you paid for the Service in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • We shall not be liable for any damages arising from your reliance on AI-generated content
  • We disclaim all liability for damages arising from or related to Generated Agents, as set forth in Section 7
  • We shall not be liable for any third-party API costs, charges, or fees incurred by your Generated Agents, regardless of whether such costs were expected, budgeted, or authorized by you

11. Third-Party Services

The Service integrates with third-party services including Google, Polar, Stripe, Cloudflare, Render, and AI model providers. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of these third-party services.

12. Termination

By you — You may stop using the Service and request account deletion at any time by contacting us at support@somodus.com.

By us — We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in conduct that could harm the Service or other users, or as required by law. Upon termination, your right to use the Service ceases immediately and all your Generated Agents will be immediately deactivated.

Upon account deletion, your personal data will be deleted within 30 days, except where retention is required by law, in accordance with our Privacy Policy.

Sections 6, 7, 10, 13, and the indemnification obligations herein shall survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, United States.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email at least 30 days before the changes take effect and update the "Effective Date" at the top of this page. For material changes to how we process your personal data, we may require your explicit consent before the changes apply. Your continued use of the Service after the 30-day notice period constitutes your acceptance of non-privacy-related changes.
